Vendor Terms

Effective Date: 01 July 2025 Website: ReplyPilot.pk Applicable to: All registered vendors, resellers, or third-party service providers using ReplyPilot.pk By registering and using the vendor services provided by ReplyPilot.pk (“we”, “our”, “the Platform”), you (“Vendor”, “you”, or “your”) agree to be legally bound by the following terms and conditions. If you do not accept these terms, you may not use our vendor services. 1. Vendor Eligibility Vendors must: Be at least 18 years old Provide accurate business or personal identification information Abide by local laws and regulations applicable to your sales or services Not be previously suspended or removed from the platform for misconduct 2. Vendor Account Responsibilities You are solely responsible for: Maintaining the confidentiality of your vendor account Ensuring that all content (services, products, descriptions) you offer is accurate, legal, and does not violate intellectual property rights or WhatsApp’s terms Responding to customer queries in a timely and professional manner We reserve the right to monitor and review vendor accounts for compliance. 3. Use of WhatsApp and AI Services ReplyPilot.pk enables vendors to: Offer WhatsApp-based services Automate client messaging using AI Manage bulk outreach, campaigns, and chatbots Important: You may not impersonate WhatsApp or misuse their brand. You are responsible for ensuring that your usage complies with WhatsApp’s official policies. 4. Platform Fees & Commission Vendors may be charged: Monthly or yearly subscription fees Platform commissions (if applicable) API usage fees or AI usage costs (if configured) All fees are final and non-refundable unless otherwise stated. 5. Prohibited Vendor Activities You agree not to use the platform to: Send spam, phishing, or fraudulent messages Sell illegal, misleading, or prohibited products/services Engage in harassment, hate speech, or abuse Share adult, violent, or politically sensitive content Violation may result in immediate termination of your account and potential legal action. 6. Content Ownership Vendors retain rights to their custom content (chat flows, messages, service listings), but by using ReplyPilot.pk, you grant us a non-exclusive right to display and distribute this content for platform operation purposes. 7. Limitation of Liability ReplyPilot.pk is not liable for: WhatsApp account bans or restrictions AI-generated errors or offensive replies Misuse of the platform by vendors or third parties Any indirect, incidental, or consequential damages You agree to use the platform at your own risk. 8. Indemnification You agree to indemnify and hold harmless ReplyPilot.pk and its team from any claims, losses, damages, liabilities, or legal costs resulting from: Your violation of these terms Your use of WhatsApp or AI for unauthorized or harmful purposes Claims from your customers regarding misuse, fraud, or non-compliance 9. Termination of Vendor Access We reserve the right to: Suspend or remove vendors who violate policies Remove content or services that harm the platform’s reputation Withhold any payments for breaches 10. Modifications to Terms We may update these terms at any time. Changes will be posted here, and continued use of the platform implies acceptance of the revised terms. 11. Governing Law These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes shall be resolved in the courts of Lahore, Pakistan. 12.
